Reseller Contract

The Seller is an authorized reseller of Minerva Data Pty. Ltd.'s products in Jordan, referred to as the Service Provider

PRODUCT SALE CONTRACT

This Product Sale Contract ("Contract") is made on ______________________, by and between:

Yalo Programming Industry, with its principal place of business in Jordan, hereinafter referred to as "Seller,"

AND

________________________________________, with its principal place of business at ______________________, hereinafter referred to as "Buyer,"

WHEREAS, the Seller is an authorised reseller of Minerva Data Pty. Ltd.'s products in Jordan, referred to as the Service Provider in Australia, Perth.

NOW, THEREFORE, the parties agree as follows:

  1. Product Sale: The Seller agrees to sell, and the Buyer agrees to purchase the products described as it is.

  2. Service subscription and Payment: Payment of first year JD________ should be paid to the Seller, and the next yearly subscriptions of JD________ should be paid for the Service Provider.

  3. Training and Support: Buyer agrees that all training and support should happen online with the service provider only.

  4. Warranties and Representations: The Seller warrants that the product warranties as provided by the Service Provider, and the Seller disclaims any further warranties.

  5. Limitation of Liability: The Seller's liability under this Contract shall be limited to the placement of order to the Service Provider only.

  6. Cloud Service Agreement: The Buyer agrees to the Service Provider's legal statement available online (https://minervadata.com/website/en/legal).

  7. Compliance with Laws: The Buyer agrees to comply with all laws and regulations applicable to the purchase, sale, and use of the products as per the Service Provider policy.

  8. Dispute Resolution: Any disputes arising out of this Contract shall be resolved solely with the Service Provider.

  9. Termination: This Contract may be terminated by the Buyer at any time with no liabilities on the Seller, Buyer or the Service Provider.

  10. Final: This Contract represents the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.

IN WITNESS WHEREOF, the parties have executed this Contract as of the date first above written.
